Analyze the provided NDA document using the systematic approach from the review guide:

  1. DOCUMENT IDENTIFICATION

    • Identify parties, effective date, term length
    • Note document structure (mutual vs one-way NDA)

  2. RED FLAG SCAN (Priority)

    • Scan for red flags from NDA checklist (IP transfer, non-competes, etc.)
    • Any red flag = recommend legal review
    • Note section references

  3. YELLOW FLAG CHECK

    • Identify yellow flags (one-sided terms, unusual provisions)
    • Note specific concerns with section references

  4. GREEN FLAG CONFIRMATION

    • Verify standard NDA protections are present
    • Note any missing expected terms

Write the complete NDA analysis to stateNDA Analysis Report following the output format. Include all findings categorized by flag type with section references.
